Website: https://www.amptstudio.com/
1. Introduction
Welcome to AMPT Studio (“AMPT Studio,” “we,” “us,” or “our”). These Terms & Conditions govern your access to and use of our website, services, and related offerings.
AMPT Studio provides creative design, branding, merchandise development, apparel printing, embroidery, product manufacturing, online merchandise stores, stickers, decals, signage, and related services.
By accessing our website, contacting us, requesting a proposal, or using our services, you agree to these Terms & Conditions and any applicable project proposals, estimates, order forms, or separate written agreements. If you do not agree with these terms, please discontinue use of our website and services.
2. Use of Our Website
You agree to use our website only for lawful purposes and in a manner that does not infringe upon the rights of others or interfere with the operation, security, or availability of our website.
You may not:
Use our website for fraudulent, unlawful, or misleading purposes.
Attempt to gain unauthorized access to our website, systems, or data.
Copy, reproduce, distribute, or exploit website content without appropriate authorization.
Upload or transmit malicious code, spam, or harmful material.
Use our website in a way that infringes another party’s intellectual property rights.
We reserve the right to restrict or suspend access to our website when reasonably necessary to protect our business, users, or systems.
3. Our Services
AMPT Studio offers creative and production services that may include:
Branding, graphic design, and merchandise design.
Screen printing, embroidery, heat-applied printing, and digital printing.
Sublimation and cut-and-sew manufacturing.
Custom merchandise stores, including company, team, retail, fundraising, and promotional stores.
Stickers, decals, banners, window graphics, and signage.
Order coordination, production management, packaging, and fulfillment.
The availability, scope, pricing, and delivery schedule of each service will depend on the specific project and the terms agreed upon with the client.
Descriptions, images, examples, and case studies on our website are provided for informational and illustrative purposes. They do not guarantee identical results, production specifications, sales, or outcomes for future projects.
4. Quotes, Proposals, and Orders
Project pricing, specifications, quantities, materials, timelines, and deliverables may be outlined in a written proposal, estimate, invoice, order confirmation, or statement of work.
Unless otherwise agreed in writing:
Quotes are based on the information provided by the client.
Changes to project requirements, quantities, materials, artwork, or specifications may affect pricing and delivery schedules.
An order or project is considered approved when the applicable proposal or estimate has been accepted and any required deposit or payment has been received.
Additional work outside the agreed scope may require additional fees and written approval.
Any expiration date or validity period stated in a quote will apply.
If these Terms & Conditions conflict with a signed project agreement or accepted proposal, the project-specific agreement will control with respect to that conflict.
5. Payments, Deposits, and Cancellations
Payment amounts, due dates, deposits, installment arrangements, and any applicable taxes or shipping charges will be specified in the applicable proposal, invoice, or order agreement.
Clients agree to pay all undisputed amounts according to the agreed payment schedule.
Production may be delayed or suspended if required payments are not received when due.
Because custom merchandise and production work may involve materials, labor, artwork, setup, and third-party costs, cancellation charges and refund eligibility will depend on the stage of the project, the costs already incurred, and the applicable written agreement.
Once custom production has begun, deposits and amounts attributable to completed work or nonrecoverable costs may be nonrefundable to the extent permitted by law and the applicable agreement.
Nothing in these terms limits any refund or other right that cannot legally be excluded.
6. Artwork Approval and Production
Clients are responsible for reviewing and approving all applicable artwork, mockups, proofs, product specifications, sizes, colors, quantities, and other order details before production begins.
AMPT Studio will use commercially reasonable efforts to produce work consistent with the approved specifications.
Clients acknowledge that minor variations may occur in color reproduction, garment sizing, material texture, printing, embroidery, and manufacturing processes. Colors displayed on digital screens may differ from finished physical products.
We are not responsible for errors in details that the client has approved, including spelling, logos, artwork, sizing, or other specifications, except where applicable law or a separate written agreement provides otherwise.
Changes requested after approval may result in additional charges, revised timelines, or the need to restart some or all of the production process.
7. Shipping, Delivery, and Fulfillment
Estimated production and delivery dates are provided in good faith but are not guaranteed unless expressly agreed in writing.
Delivery may be affected by supplier availability, production capacity, shipping carriers, weather, customs, client delays, or other circumstances outside our reasonable control.
Shipping costs, delivery arrangements, tracking, risk of loss, and responsibility for damaged or missing shipments will be governed by the applicable order agreement and law.
Clients must provide accurate shipping and delivery information. Additional charges may apply when incorrect information, failed delivery attempts, or requested changes result in additional costs.
If a shipment arrives damaged, is incomplete, or does not conform to the agreed specifications, please contact us promptly with the relevant order details and supporting photographs so we can review the issue.
8. Returns, Exchanges, and Defective Products
Custom-designed or personalized products may not be eligible for return or exchange merely because a client changes their mind, provided such restrictions are lawful and were properly disclosed.
This policy does not exclude rights or remedies that apply to defective, damaged, incorrect, or materially nonconforming products under applicable law or an applicable written agreement.
Any order-specific return, replacement, or refund policy communicated at the time of purchase will also apply.
For products sold through a client-specific merchandise store, additional store terms may apply to the purchaser and will be provided where applicable.
9. Intellectual Property and Ownership
All website content, including text, graphics, photographs, logos, branding, designs, and other materials owned by AMPT Studio, is protected by applicable intellectual property laws.
You may not reproduce, modify, distribute, publish, or commercially exploit our proprietary materials without prior written permission.
Clients retain ownership of intellectual property they own and provide to us, subject to the rights and permissions granted to perform the agreed services.
Unless otherwise agreed in writing, ownership and licensing rights in custom artwork, design files, concepts, production files, and other project deliverables will be governed by the applicable proposal or project agreement. Payment for a project does not automatically transfer every underlying intellectual property right, source file, template, or production method.
AMPT Studio retains ownership of its pre-existing materials, tools, templates, processes, know-how, and other proprietary resources, subject to any rights expressly granted to the client in writing.
Clients are responsible for ensuring that logos, images, trademarks, text, and other materials they provide are authorized for use. Clients agree not to request the unauthorized reproduction of third-party intellectual property.
10. Portfolio and Promotional Use
Unless otherwise agreed in writing, AMPT Studio may request permission to display completed projects, photographs, or samples of work in its portfolio, case studies, social media, or other promotional materials.
We will respect applicable confidentiality obligations and any agreed restrictions on public disclosure.
Clients should notify us in writing before production or project completion if their work is subject to confidentiality requirements or restrictions on promotional use.
11. Third-Party Providers and Services
Certain services may involve third-party manufacturers, suppliers, payment processors, shipping carriers, e-commerce platforms, or other service providers.
We may rely on these providers to help deliver our services. Their own terms, policies, and operational limitations may apply.
We are not responsible for independent third-party websites or services that we do not control. However, this provision does not exclude responsibility that cannot legally be excluded or obligations expressly accepted by AMPT Studio under a separate agreement.
12. Client Responsibilities
Clients agree to provide accurate project information, timely approvals, necessary files, and any permissions or authorizations required for the requested work.
Clients are responsible for ensuring that their supplied content and instructions comply with applicable laws and do not infringe third-party rights.
Delays in providing materials, approvals, payments, or other required information may affect production schedules, delivery dates, and project costs.
13. Privacy
Our handling of personal information is governed by our Privacy Policy, which should be read together with these Terms & Conditions.
Information submitted through our website may be used to respond to inquiries, prepare proposals, communicate about projects, fulfill orders, and conduct our business, subject to applicable law and our Privacy Policy.

14. Disclaimers
Our website and its general informational content are provided on an “as is” and “as available” basis to the extent permitted by law.
We make reasonable efforts to keep website information accurate and current, but we do not guarantee that all content will always be complete, accurate, uninterrupted, or error-free.
Any warranties relating to specific products or services will be governed by applicable law and the applicable written agreement.
Nothing in these Terms & Conditions excludes a warranty, guarantee, or consumer right that cannot legally be excluded or limited.
15. Limitation of Liability
To the maximum extent permitted by applicable law, AMPT Studio will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business opportunities, or anticipated savings arising from website use or the performance of our services.
To the extent permitted by law, any additional limitation on direct damages will be governed by the applicable project agreement.
Nothing in these terms excludes or limits liability for fraud, willful misconduct, gross negligence where such exclusion is prohibited, or any other liability that cannot legally be excluded or limited.
16. Indemnification
To the extent permitted by law, clients agree to be responsible for third-party claims arising from their unlawful use of our services or from materials they provide that infringe third-party rights, except to the extent a claim results from AMPT Studio's own breach, negligence, or misconduct.
Any indemnification obligation will be subject to applicable law and the terms of the relevant project agreement.
17. Force Majeure
AMPT Studio will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fires, labor disruptions, supplier shortages, transportation interruptions, government actions, or widespread technology outages.
We will use reasonable efforts to communicate material delays and resume performance when reasonably possible.
This provision does not excuse payment obligations for work already performed or other amounts already due.
18. Suspension and Termination
We may suspend website access or terminate a service relationship where permitted by law and the applicable agreement, including in cases of material breach, unlawful activity, nonpayment, or misuse of our website or services.
Termination of a project does not automatically eliminate payment obligations for completed work, approved expenses, or other amounts due under the applicable agreement.
Any rights concerning cancellation, notice, refunds, and outstanding deliverables will be determined by the relevant project agreement and applicable law.
19. Governing Law and Disputes
These Terms & Conditions will be governed by the laws of the state in which AMPT Studio's contracting business entity is legally established, without regard to conflict-of-law principles, unless applicable law requires otherwise.
The parties agree to attempt to resolve disputes through good-faith communication before pursuing formal legal remedies.
Any court proceedings will be subject to applicable jurisdictional rules and mandatory consumer protections.
Before publication: Replace this provision with the correct governing state and appropriate dispute-resolution language after confirming your company's legal entity and location.
20. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes in our business, services, or legal obligations.
The revised version will be posted on this page with an updated effective date. Where required by law, we will provide notice or obtain consent for material changes.
Your continued use of our website after updated terms take effect will be subject to applicable law and any required acceptance procedures.
21. Severability
If any provision of these Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
22. Entire Agreement
These Terms & Conditions govern general website use and our services, together with any applicable proposal, order form, statement of work, or separate written agreement.
They do not override a separate agreement where that agreement expressly governs the relevant subject matter.
